Terms of Payment
1. General
1.1. NEFXI operates solely as an online marketplace and advertising platform (the "Platform") that facilitates connections between Buyers and Sellers of goods and services, in a manner similar to classifieds and marketplace platforms such as Craigslist, Facebook Marketplace, Jiji, and OLX. 1.2. NEFXI is not a party to any transaction between Users. NEFXI does not act as a seller, buyer, broker, agent, escrow provider, payment processor, or delivery service in respect of any sale, purchase, or exchange of goods or services listed on the Platform. 1.3. NEFXI is not a bank, financial institution, escrow agent, or trustee unless expressly stated in writing. 1.4. These Terms of Payment govern only the fees and charges payable by Users directly to NEFXI for use of the Platform, as described below. They do not govern, and NEFXI is not responsible for, any payment made between a Buyer and a Seller in connection with the sale of goods or services.
2. Nature of the Platform and Marketplace Disclaimer
2.1. NEFXI only connects Buyers and Sellers and does not handle, process, or have any involvement in the actual sale transaction between a Buyer and a Seller. 2.2. Buyers and Sellers transact with each other at their own risk and are solely responsible for verifying the identity, legitimacy, quality, safety, condition, and legality of any products or services offered through the Platform. 2.3. NEFXI does not guarantee the accuracy or completeness of any listing, the identity or credentials of any User, the quality, safety, or legality of goods or services offered, or the successful completion of any transaction between Users. 2.4. Any dispute regarding the sale, purchase, delivery, quality, or payment for goods or services shall be resolved directly between the Buyer and the Seller. NEFXI has no obligation to mediate, resolve, or otherwise participate in such disputes, save where it elects to assist Users at its sole discretion.
3. Fees Payable to NEFXI
3.1. NEFXI does not collect or process payment for the sale of goods or services between Buyers and Sellers. NEFXI only collects payments from Users in respect of Platform-related services, including: • Listing fees • Featured ad fees • Advertising fees • Subscription fees • Other platform-related service fees communicated by NEFXI from time to time 3.2. Payments made to NEFXI are solely for advertising and platform-related services and do not constitute payment for, or any guarantee of, the sale or purchase of any goods or services listed by Users. 3.3. NEFXI reserves the right to revise its fees at any time. Continued use of the Platform after a fee revision constitutes acceptance of the revised fees.
4. Accepted Payment Methods
4.1. Users may pay fees owed to NEFXI through payment methods approved by NEFXI from time to time, including: • Mobile money services, e.g., M-Pesa, Airtel Money, inter alia • Debit cards • Credit cards • Bank transfers • Digital wallets • Other payment channels approved by NEFXI 4.2. NEFXI reserves the right to add, remove, or suspend any payment method without prior notice.
5. Payment Processing
5.1. All payments made to NEFXI shall be processed through independent third-party payment processors. 5.2. By making a payment, the User authorizes NEFXI and its payment partners to process the transaction in respect of the applicable Platform fee. 5.3. NEFXI shall not be responsible for delays, interruptions, errors, or failures caused by payment service providers.
6. Taxes
6.1. Users are solely responsible for determining and paying any taxes applicable to fees paid to NEFXI and to any transactions they conclude with other Users. 6.2. NEFXI may deduct withholding taxes or other statutory deductions from fees payable to it, where required by law.
7. Verification of Fee Payments
7.1. NEFXI may delay, suspend, reverse, or investigate any payment made to it in respect of Platform fees where such payment is suspected to involve: • Fraud • Money laundering • Unauthorized use of payment instruments • Identity theft • Violation of applicable law • Platform abuse 7.2. Users shall provide any information reasonably requested by NEFXI for such verification purposes.
8. Refunds
8.1. Refund requests relating to fees paid to NEFXI (such as listing, featured ad, advertising, or subscription fees) shall be governed by NEFXI's applicable Refund and Returns Policy. 8.2. As NEFXI does not process payment for, or otherwise handle, the sale of goods or services between Users, NEFXI does not provide refunds in respect of any transaction concluded directly between a Buyer and a Seller. 8.3. Approval of a refund of Platform fees shall not constitute an admission of liability by NEFXI. 8.4. Refunds of Platform fees may be refused where NEFXI reasonably suspects fraud or abuse of the Platform.
9. Chargebacks
9.1. Users shall not initiate chargebacks in respect of fees paid to NEFXI without first utilizing NEFXI's dispute resolution procedures. 9.2. NEFXI reserves the right to suspend accounts involved in abusive or fraudulent chargebacks relating to Platform fees.
10. No Payouts, Escrow, or Handling of Transaction Funds
10.1. As NEFXI only receives advertising, listing, featured ad, and other platform-related fees, NEFXI does not process, hold, freeze, or withhold any funds relating to the sale of goods or services between Buyers and Sellers. 10.2. NEFXI does not operate a seller payout system, does not maintain a payout schedule for transaction proceeds, and does not act as escrow holder or custodian of any funds exchanged between Buyers and Sellers. Buyers and Sellers are solely responsible for arranging and completing payment for goods and services directly between themselves. 10.3. Nothing in these Terms of Payment shall be construed as an undertaking by NEFXI to collect, disburse, guarantee, or otherwise handle payments for goods or services sold through the Platform.
11. Limitation of Liability
11.1. NEFXI shall not be liable for any loss, damage, or claim arising from or in connection with: • Any transaction, agreement, or dealing between a Buyer and a Seller • The quality, safety, legality, or condition of any goods or services listed on the Platform • The identity, conduct, or misrepresentation of any User • Non-performance, non-delivery, or non-payment by any Buyer or Seller • Payment gateway failures or banking system outages • User errors • Unauthorized access caused by User negligence 11.2. NEFXI's total liability to any User, to the extent permitted by law, shall be limited to the amount of Platform fees actually paid by that User to NEFXI in the twelve (12) months preceding the event giving rise to the claim.
12. Amendments
12.1. NEFXI reserves the right to amend these Terms of Payment at any time to reflect changes to its business model, services, or applicable law. Amended terms shall take effect upon publication on the Platform, and continued use of the Platform constitutes acceptance of the amended terms.
